Metrobank penalized for violating PSE’s minimum public ownership rule

The Philippine Stock Exchange (PSE) has penalized Metropolitan Bank & Trust Co. (Metrobank) for violating the bourse’s amended minimum public ownership (MPO) rule.

In a notice dated July 30, the PSE said the Ty-led lender violated Section 1, Article VII of the PSE Disclosure Rules and the amended MPO rule.

The exchange did not specify the penalty imposed, or whether Metrobank had subsequently complied with the requirement.

Section 1, Article VII requires listed companies to promptly disclose material information and corporate developments through the PSE Edge disclosure platform, while the amended MPO rule requires issuers to maintain the prescribed minimum level of publicly held shares.

In February, the Securities and Exchange Commission issued memorandum circular No. 11, Series of 2026, introducing a tiered minimum public ownership framework for companies seeking to list shares on the Philippine Stock Exchange.
